1. Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the website and services provided by Flow Genius Labs ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, you must not use our website or services.
2. Services
Flow Genius Labs provides application design, development, product strategy, and market launch services for business and consumer applications. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.
These Terms apply to all services unless explicitly superseded by a signed Service Agreement, in which case the Service Agreement takes precedence for that engagement.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely information required to perform the services
- Review and provide feedback on deliverables within agreed timelines
- Ensure you have rights to any content, assets, or third-party materials you provide to us
- Designate an authorized point of contact for project communications
- Pay all fees as outlined in your Service Agreement or SOW
- Comply with all applicable laws in connection with your use of the developed applications
4. Intellectual Property
Client-Owned Deliverables
Upon receipt of full payment, Flow Genius Labs assigns to the client all ownership rights to custom code, designs, and deliverables created specifically for their project, as defined in the SOW.
Our Pre-Existing IP
Flow Genius Labs retains ownership of all pre-existing tools, frameworks, libraries, methodologies, and proprietary code developed prior to or independently of the client engagement. We grant clients a perpetual license to use such components as incorporated in their deliverables.
Third-Party Components
Open-source libraries and third-party components used in deliverables are subject to their respective licenses. We will disclose the use of such components and it is the client's responsibility to comply with applicable open-source license terms.
Portfolio Rights
Unless otherwise agreed in writing, Flow Genius Labs reserves the right to reference and display completed projects in our portfolio and marketing materials.
5. Confidentiality
Both parties agree to keep confidential all proprietary, sensitive, or non-public information disclosed during the engagement ("Confidential Information"). Confidential Information shall not be disclosed to any third party without prior written consent, except as required by law. This obligation survives termination of the engagement for a period of three (3) years. Detailed non-disclosure obligations are governed by any NDA signed between the parties.
6. Payment Terms
Unless stated otherwise in your Service Agreement:
- A deposit (typically 50%) is required before work commences
- Remaining balances are due upon project completion or per milestone schedule
- Invoices are payable within 14 days of issue
- Late payments accrue interest at 1.5% per month
- We reserve the right to suspend services for overdue accounts
- All fees are in USD unless otherwise specified
7. Revisions & Change Requests
Each project includes a defined number of revision rounds as specified in the SOW. Requests for changes outside the original project scope will be assessed and quoted as additional work. We will not proceed with out-of-scope work without written approval from an authorized client representative.
8. Warranties & Representations
Flow Genius Labs warrants that:
- Services will be performed with reasonable skill and care
- Deliverables will materially conform to agreed specifications at delivery
- We have the right to provide the services and assign intellectual property as described
We do not warrant that applications will be error-free, that defects will be corrected beyond the agreed warranty period, or guarantee specific business outcomes such as revenue, user acquisition, or market success.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Flow Genius Labs' total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project giving rise to the claim in the six (6) months preceding the claim. In no event shall we be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.
10. Termination
Either party may terminate a project engagement with 30 days' written notice. Upon termination:
- The client is responsible for fees for all work completed up to the termination date
- Flow Genius Labs will deliver all completed work product upon receipt of outstanding payment
- Non-refundable deposits cover project setup and resource allocation costs
11. Governing Law & Dispute Resolution
These Terms are governed by applicable law. Any disputes arising from these Terms or a service engagement shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration. Nothing herein prevents either party from seeking injunctive relief for intellectual property violations.
12. Website Use
By using our website, you agree not to:
- Use the site for any unlawful purpose
- Attempt to gain unauthorized access to any part of the site
- Transmit any harmful, offensive, or disruptive content
- Copy, reproduce, or distribute site content without our written permission
- Use automated tools to scrape or harvest data from the site
13. Changes to Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. For active client engagements, material changes will be communicated directly. Continued use of our website constitutes acceptance of revised Terms.
